GST Treatment of Marketplace Commission and Platform Fees

Understand the GST treatment of marketplace commission and platform fees. Learn about the 18% GST rate, invoice requirements, TCS implications, and ITC eligibility for sellers.

E-commerce marketplaces like Amazon, Flipkart, and Meesho charge various fees to sellers for facilitating sales. These include commission on sales, platform fees, closing fees, shipping fees, advertising fees, and other charges. From a GST perspective, these fees are consideration for services provided by the marketplace to the seller, and they attract GST at the applicable rate.

This article explains the GST treatment of marketplace commission and platform fees.

Marketplace Services and GST Applicability

E-commerce marketplaces provide a range of services to sellers, including:

  • Listing products on the platform.
  • Facilitating order management and payment collection.
  • Providing logistics and fulfilment services.
  • Offering advertising and promotional services.
  • Providing customer support and dispute resolution.

These services fall under the definition of "supply of services" under GST. The marketplace charges a consideration (commission or fee) for these services. The marketplace must issue a GST-compliant invoice to the seller, and GST is charged at 18% (9% CGST + 9% SGST for intra-state, or 18% IGST for inter-state).

GST Rate on Marketplace Services

Marketplace facilitation services, including commission and platform fees, attract GST at 18% . This rate applies to:

  • Sales commission.
  • Closing fees.
  • Platform fees.
  • Shipping and fulfilment fees.
  • Advertising and promotion fees.
  • Storage fees.
  • Technology and software fees.

Invoice Requirements

The marketplace must issue a GST-compliant tax invoice to the seller for the services provided. The invoice must include:

  • Marketplace's name, address, and GSTIN.
  • Seller's name, address, and GSTIN.
  • Invoice number and date.
  • Description of services.
  • Taxable value.
  • GST rate and amount (CGST, SGST, or IGST).
  • Total invoice value.

ITC on Marketplace Fees

Sellers can claim input tax credit (ITC) on GST paid for marketplace services, provided:

  • The service is used for business purposes.
  • The seller possesses a valid tax invoice.
  • The invoice is reflected in the seller's GSTR-2B .
  • The credit is not blocked under Section 17(5).

ITC on marketplace commission and platform fees can be significant, as these fees typically range from 5% to 20% of the sale value. Claiming ITC on these fees reduces the seller's overall GST liability.

TCS and Marketplace Fees

It is important to distinguish between TCS under Section 52 and marketplace fees. TCS is a tax collected by the marketplace on the net taxable value of supplies made by the seller. Marketplace fees, on the other hand, are the consideration charged by the marketplace for its services.

Both TCS and marketplace fees are reported separately in the seller's GST returns. TCS is claimed as a credit in the Electronic Cash Ledger, while GST on marketplace fees is claimed as ITC in GSTR-3B.

Common Issues

  • Non-receipt of invoices: Sellers often fail to obtain GST invoices from marketplaces, resulting in loss of ITC.
  • Incorrect GSTIN on invoices: If the seller's GSTIN is incorrect, the ITC will not be reflected in GSTR-2B.
  • Mismatch between fees and invoices: Reconciling marketplace fees with GST invoices can be challenging.
  • Blocked ITC: Some fees, such as those related to personal expenses or blocked credits, may not be eligible for ITC.

Practical Compliance Tips

  • Download marketplace fee invoices from the seller dashboard every month.
  • Verify that the GSTIN on the invoice is correct.
  • Reconcile marketplace fees with the GST reported in GSTR-2B.
  • Claim ITC on eligible fees in GSTR-3B.
  • Maintain proper records of all invoices and fee statements.

Conclusion

Marketplace commission and platform fees attract GST at 18%, and sellers can claim ITC on these fees. Proper documentation and reconciliation are essential to ensure that ITC is not lost. Failure to claim ITC on marketplace fees can significantly increase the seller's tax cost.
